Terms and Conditions of Sale (T&Cs)
Version in force since 1 July 2026
1. Parties and scope
These Terms and Conditions of Sale (hereinafter, "T&Cs") govern all commercial relations between Vayron (hereinafter, "Vayron" or "the seller"), an e-commerce platform specialising in ventilation, air-conditioning and VMC (mechanical ventilation) products, and its customers (hereinafter, "the customer").
Professional customer: Vayron addresses its activity to professionals in the sector (installers, installation companies, construction companies and similar) and private individuals. Acceptance of these T&Cs implies that the customer declares to be acting in that capacity when they are a professional.
Placing an order with Vayron implies knowledge and full acceptance of these T&Cs. Vayron reserves the right to update these terms; the version in force is the one published on vayron.es at the time of purchase.
2. Customer registration and order details
In order to process orders correctly, the customer must provide their full details during registration or when placing an order: company name, tax ID (NIF/CIF), registered address, responsible person and contact details, delivery address and availability hours.
Although this information is not mandatory, it must be provided so that the corresponding invoices can be issued correctly.
Vayron reserves the right to request additional documentation proving the customer's professional status (IAE registration, self-employed certificate, etc.) before processing a project order.
3. Orders and confirmation
Orders are placed through the vayron.es online store. The online purchase process constitutes a binding offer by the customer; the contract is concluded when Vayron confirms the order by email.
For project orders (see clause 5), the offer is requested by email to tecnico@gtsystems.es or through the form provided for this purpose. Project offers are valid for 15 calendar days from issue, unless expressly stated otherwise.
Vayron will confirm all orders, stating the expected dispatch date. Delivery dates are estimates and may be affected by causes beyond Vayron's control (supplier stock shortages, transport incidents, etc.). Under no circumstances will such deviations give rise to a penalty.
Incomplete orders due to lack of stock: If an order cannot be completed in a single shipment, the customer may choose to: (a) wait for stock to be replenished and receive the complete order, (b) cancel the unavailable references and include them in the next order, or (c) keep the order open and bear the cost of the second shipment if it does not reach the free shipping threshold.
4. Prices
All prices published on vayron.es are public prices in euros, including VAT, and correspond to the sales unit indicated for each reference. The applicable VAT will be calculated and shown at checkout according to the rate in force.
Minimum sales units: The minimum sales units (MSU) indicated per project will be respected. Orders for quantities below the MSU may be subject to a price increase, which will be stated in the offer.
Volume discounts: Certain references have volume discount tiers, indicated on the product page. These discounts are applied automatically in the cart.
Vayron reserves the right to modify prices without prior notice, due to variations in raw material costs or supply conditions. The applicable price will be the one in force at the time of order confirmation.
5. Project orders (special pricing)
For works and projects with a minimum material amount that will be communicated on request, the customer may request an offer with special price conditions by email to tecnico@gtsystems.es, stating: project reference, list of materials and quantities, and estimated execution timeframe.
Project price conditions are strictly confidential, cannot be combined with other discounts and are tied to the project for which they are issued.
Orders confirmed under project pricing cannot be cancelled, have references changed or be returned once the offer has been accepted in writing by both parties.
6. Transport and delivery
6.1 Free shipping
Shipping is free for orders exceeding the amount stated on the shipping terms page of vayron.es in force at the time of the order. For orders below that threshold, the transport cost calculated at checkout according to the destination and volume of the order will apply.
6.2 Delivery times
The usual delivery time for in-stock references is 5-7 working days from order confirmation. For made-to-order references or those requiring specific manufacture, the delivery time will be stated in the order confirmation.
Delivery times are estimates. Vayron accepts no liability for delays attributable to transport companies or to force majeure.
6.3 Delivery and receipt
The customer or an authorised person must be available at the delivery location and time indicated. In the event of repeated absence preventing delivery, the costs of a new attempt or storage will be borne by the customer.
On receiving the goods, the customer must check the condition of the packaging and the contents. Any damage visible during transport must be noted on the carrier's delivery note and reported to Vayron within a maximum of 24 hours of receipt, sending photographs to tecnico@gtsystems.es. Failure to report within this period releases Vayron from liability for such damage.
6.4 Bulky material
Large-volume products (boxed flexible ducts, EPS plenums, rigid ducts, etc.) may be subject to volumetric transport coefficients. The actual cost will be calculated at checkout and, for project orders, detailed in the offer.
7. Payment
Vayron accepts the following payment methods available at the vayron.es checkout: credit/debit card (Visa, Mastercard), bank transfer and other digital methods enabled on the platform.
First purchase: For new customers, the first order is always paid up front or by advance bank transfer.
Project orders: Payment will be agreed in the project offer. The maximum payment term is 30 days from the dispatch date of the material, unless expressly agreed otherwise in writing.
In the event of non-payment, Vayron reserves the right to claim the amount owed plus the late-payment interest provided for in Spanish Law 3/2004 on measures to combat late payment in commercial transactions, as well as any collection costs and legal costs that may arise.
The goods remain the property of Vayron until the price has been paid in full.
For future projects, payment in instalments or a longer payment term may be negotiated with Vayron.
8. Returns and claims
The period for requesting a return or exchange is 15 calendar days from receipt of the goods, provided that the material has not been used and is returned in its original packaging and in perfect condition.
Returns must be requested in advance by email to tecnico@gtsystems.es, stating the order number, the reference(s) concerned and the reason. Vayron will provide the return instructions. Return costs are borne by the customer, except in the case of an error by Vayron or a defective product.
Returns will not be accepted for:
- Special or made-to-order material, once confirmed.
- Material that has been installed, modified or damaged by the customer.
- Material returned without its original packaging or outside the return period.
Where a return is accepted, Vayron may apply a reduction of up to 20 % of the value of the material to cover inspection, reconditioning and restocking costs.
9. Warranties
Products sold by Vayron are covered by the manufacturer's warranty. Vayron will act as an intermediary with the manufacturer in the event of a manufacturing defect, provided that the defect is reported within the product's warranty period and is not attributable to incorrect use, improper installation or unauthorised modifications.
Warranty claims are handled through tecnico@gtsystems.es, attaching the order number, product reference and a detailed description of the defect, with supporting photographs.
10. Liability
Vayron's liability is limited to the value of the order in question. Vayron accepts no liability for indirect damages, loss of profit or losses arising from the use of the products, except where mandatorily established by applicable law.
The customer is responsible for verifying that the products purchased are suitable for the intended application and comply with the applicable regulations (CTE, RITE, local installation regulations). Vayron provides technical information on the products for guidance purposes only.
11. Data protection
The personal data provided by the customer will be processed by Vayron for the purpose of managing the commercial relationship, in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD).
The customer may exercise their rights of access, rectification, erasure, portability and restriction of processing by writing to info@vayron.es. The full privacy policy is available at vayron.es/privacidad.
12. Invoicing
Vayron will issue an electronic invoice for each order, which will be sent to the email address registered on the customer's account. Invoices will carry their own numbering series and comply with current Spanish tax regulations.
For project orders or other transactions agreed outside the online platform, the invoice will be issued according to the conditions agreed in the offer.
13. Applicable law and jurisdiction
These T&Cs are governed by Spanish law. For the resolution of any dispute arising from the commercial relationship between Vayron and its customers, both parties submit to the Courts and Tribunals of Barcelona, expressly waiving any other jurisdiction to which they may be entitled.
14. Changes to the T&Cs
Vayron reserves the right to modify these T&Cs. The version in force will always be available at vayron.es/condiciones-generales. The version applicable to each order is the one published at the time of its confirmation.
